Terms of Service

1. Acceptance of Terms

By accessing or using the AIMuhaseb cloud accounting platform (the "Service") provided by Al Muhaseb Technologies L.L.C-FZ ("AIMuhaseb", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

AIMuhaseb provides a cloud-based accounting and tax compliance platform designed for UAE businesses. The Service includes double-entry bookkeeping, VAT calculation and reporting, Corporate Tax estimation, financial statement generation, bank reconciliation, and related features as described on our website.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Subscription Plans & Billing

AIMuhaseb offers free and paid subscription plans. Paid plans are billed quarterly or annually as selected at the time of purchase. All fees are quoted in UAE Dirhams (AED) and are exclusive of VAT unless otherwise stated. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period, and fees already paid for that period are non-refundable except where a refund is required by applicable UAE law.

5. Your Data

You retain all ownership rights to the financial data you enter into the Service. We do not claim ownership of your data. You grant us a limited license to process, store, and display your data solely for the purpose of providing the Service. You may export or delete your data at any time through the platform's built-in tools.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of UAE laws and regulations.
• Enter false or misleading financial data with the intent to deceive tax authorities.
• Attempt to gain unauthorized access to other users' accounts or data.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to transmit malware, viruses, or other harmful code.
• Resell, sublicense, or redistribute the Service without written authorization.

7. Tax Compliance Disclaimer

While AIMuhaseb is designed to assist with UAE VAT and Corporate Tax compliance, the Service does not constitute professional tax advice. The calculations, reports, and estimates generated by the platform are based on the data you provide and the tax rules configured in the system. You are ultimately responsible for the accuracy of your tax filings and should consult with a qualified tax advisor for complex tax matters. AIMuhaseb shall not be liable for penalties, fines, or additional tax assessments resulting from errors in your data or changes in tax legislation.

8. Service Availability

We strive to maintain high availability for the Service. However, we may occasionally need to perform maintenance or updates that temporarily affect availability. We will provide reasonable advance notice of planned maintenance. We are not liable for any loss or damage resulting from service interruptions beyond our reasonable control.

9. Limitation of Liability

To the maximum extent permitted by UAE law, AIMuhaseb's total liability for any claims arising from or related to the Service shall not exceed the total fees paid by you in the twelve (12) months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

10. Intellectual Property

The Service, including its design, features, code, documentation, and branding, is the intellectual property of Al Muhaseb Technologies L.L.C-FZ and is protected by UAE and international copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works based on the Service.

11. Confidentiality

Each party will keep the other's non-public information confidential and use it only as needed to perform under these Terms, except where disclosure is required by law or a competent authority. This obligation survives termination of these Terms.

12. AI Assistant

The Service includes an AI assistant that offers suggestions — such as proposed account categorisations, draft journal entries, and answers about your figures — to help you work faster. Its output is generated automatically, may be incomplete or incorrect, and does not constitute professional accounting or tax advice. You review and confirm every suggestion before it is posted, and you remain responsible for your records and filings. To generate a response, the assistant processes a summary of your data through our secure systems and trusted service providers; your data is used only to produce your response and is not used to train any third-party models. 13. Termination

Either party may terminate these Terms at any time. Upon termination, your right to access the Service will cease. We keep your data available for export for 30 days after termination, after which it may be deleted. As the taxable person, you remain responsible for keeping your own records for the period required by UAE law.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute arising out of or in connection with these Terms shall be finally resolved by arbitration administered by the Dubai International Arbitration Centre (DIAC) under its Arbitration Rules 2022, by a sole arbitrator, with the seat of arbitration in Dubai, UAE, and proceedings conducted in English.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email and posted on our website at least 30 days before taking effect. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
